AITF Website and Platform Terms & Conditions

1. About these Terms

AITF is operated by Multiple Management Australia Pty Ltd (ABN 17 072 216 132) ("AITF", "we", "us" or "our").

These Terms & Conditions ("Terms") govern your access to and use of:

  • the AITF website
  • AITF assessments
  • the AITF portal
  • AITF digital tools and functionality
  • related online services provided by AITF.

By accessing or using these services, creating an account or submitting an assessment, you agree to these Terms.

If you use AITF on behalf of an organisation, you represent that you are authorised to do so.

2. Separate client engagements

These Terms govern use of the AITF website, assessment and platform.

Consulting, workshops, implementation, integration, automation, managed services or other professional services may be subject to a separate proposal, statement of work, service agreement or other written engagement terms.

If there is an inconsistency between these Terms and a separately executed client agreement, the executed client agreement will prevail to the extent of that inconsistency.

3. AITF services

AITF provides tools and services designed to help organisations understand their operations, identify opportunities for improvement and assess potential applications of artificial intelligence, automation and related technologies.

Services may include:

  • digital business assessments
  • business and technology analysis
  • workshops
  • process analysis
  • opportunity identification and prioritisation
  • recommendations
  • implementation planning
  • artificial intelligence and automation services
  • system integrations
  • measurement and reporting.

The services available may change over time.

4. AITF assessments

AITF assessments analyse information supplied by users about their organisation, systems, processes, costs, operations and business activities.

Assessment outputs may include:

  • observations
  • classifications
  • scores
  • benchmarks
  • estimates
  • identified opportunities
  • potential recoverable hours
  • potential financial value
  • recommendations and suggested next steps.

These outputs are indicative only unless expressly stated otherwise.

Assessment results depend substantially upon the accuracy and completeness of information supplied by the user.

An assessment is intended to assist further investigation and decision-making. It does not guarantee financial savings, productivity improvements, revenue increases, business performance or any other particular result.

5. Your responsibilities

When using AITF, you agree to:

  • provide information that is reasonably accurate and complete
  • only provide information you are authorised to provide
  • have appropriate authority where acting for an organisation
  • maintain the security of your account and credentials
  • promptly notify AITF if you suspect unauthorised access
  • comply with applicable laws
  • respect the rights and privacy of other people
  • use AITF only for legitimate business purposes.

You are responsible for assessing whether AITF recommendations and outputs are appropriate for your organisation before acting upon them.

6. Accounts and portal access

Certain AITF services may require an account.

You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account except to the extent that such activity results from circumstances for which AITF is legally responsible.

You must not permit unauthorised persons to use your account.

AITF may introduce or require additional authentication or security measures where reasonably necessary.

We may suspend or restrict access where reasonably necessary to protect AITF, a client organisation, another user, connected systems or the security and integrity of the platform.

7. Client information and data

You or your organisation retain ownership of information and data supplied to AITF.

You grant AITF a non-exclusive right to host, store, process, analyse and otherwise use that information to the extent reasonably necessary to:

  • provide requested services
  • operate the platform
  • perform assessments and analysis
  • support workshops and engagements
  • provide authorised integrations and automations
  • maintain security
  • provide support
  • comply with legal obligations.

AITF does not acquire ownership of your underlying business information merely because it is processed using AITF services.

8. Confidential information

Information supplied as part of an AITF assessment, workshop or engagement may contain confidential business information.

AITF will use reasonable measures to protect confidential client information and will use or disclose that information for purposes associated with providing, securing, administering and supporting the relevant services, or as otherwise authorised or required by law.

Additional confidentiality obligations may apply under a separate client agreement.

9. Artificial intelligence

Some AITF services use or may use artificial intelligence, machine learning and automated systems.

AI-generated outputs may contain errors, omissions, inappropriate assumptions or inaccurate conclusions.

AITF may combine automated analysis with:

  • structured methodologies
  • business rules
  • evidence
  • benchmarks
  • consultant review
  • human judgement.

You should not treat an AI-generated output as independently verified fact unless AITF expressly identifies it as verified.

Material business, financial, employment, legal, safety or operational decisions should receive appropriate human consideration before action is taken.

10. Automations and connected systems

Where a client authorises AITF to connect with or automate activities within a third-party system, the client is responsible for ensuring it has authority to grant that access.

Connected systems may include accounting, job management, CRM, productivity, email, communications and other business platforms.

The permissions, safeguards, approval requirements and operating parameters applicable to production automations may be specified in a separate implementation agreement or statement of work.

AITF may refuse, restrict, suspend or disable an integration or automation where reasonably necessary because of:

  • security concerns
  • suspected unauthorised activity
  • legal or regulatory requirements
  • risk of material harm
  • unexpected system behaviour
  • third-party service changes
  • risk to client or AITF systems.

11. Human approval and automated actions

Some automation services may be capable of initiating or performing actions in connected systems.

Depending upon the implementation, these actions may require human approval or may operate automatically within agreed parameters.

The appropriate level of human oversight should be determined as part of the relevant implementation.

Unless expressly agreed otherwise in writing, clients remain responsible for material business decisions and for determining which activities may appropriately be automated.

12. Third-party services

AITF may use, rely upon or integrate with third-party products and services.

These may include cloud infrastructure, databases, artificial intelligence providers, communication services, analytics platforms and business applications.

Third-party services are independently operated and may be subject to their own:

  • terms and conditions
  • privacy policies
  • availability
  • functionality
  • security arrangements
  • pricing
  • API limitations.

AITF is not responsible for failures, interruptions, changes or actions of third-party services that are outside AITF's reasonable control.

13. Intellectual property

AITF and its licensors retain ownership of intellectual property relating to the AITF platform and services, including, where applicable:

  • software
  • source code
  • assessment methodologies
  • frameworks
  • algorithms
  • schemas
  • templates
  • processes
  • documentation
  • designs
  • reports and report structures
  • trademarks and branding
  • underlying know-how.

Clients retain ownership of their own data, information and pre-existing intellectual property.

Except where expressly agreed in writing, using AITF does not transfer ownership of AITF intellectual property to a user or client.

14. Use of assessment outputs

You may use assessment reports and outputs produced specifically for your organisation for your internal business purposes.

You must not, without AITF's permission:

  • commercially resell the AITF assessment methodology
  • reproduce substantial elements of the AITF platform or methodology to create a competing service
  • represent AITF intellectual property as your own
  • remove proprietary notices from materials where those notices are intended to remain.

Nothing in this section prevents you from using your own business information or acting upon recommendations provided to you.

15. Acceptable use

You must not:

  • attempt to gain unauthorised access to AITF systems
  • access another user's or client's information without authority
  • interfere with the operation or security of the platform
  • probe, scan or test system vulnerabilities without written authorisation
  • introduce malware or harmful code
  • circumvent authentication, permissions or security controls
  • use the platform for unlawful, fraudulent or abusive purposes
  • use AITF to infringe another person's rights
  • extract substantial amounts of platform information using automated means without permission
  • reverse engineer or attempt to reproduce protected elements of the platform except where expressly permitted by law
  • use AITF in a manner that could reasonably damage the platform or other users.

16. Availability and changes

AITF aims to provide reliable services but does not guarantee that the website or platform will always be available, uninterrupted or error-free.

Availability may be affected by:

  • maintenance
  • upgrades
  • security events
  • internet or infrastructure failures
  • third-party outages
  • circumstances outside our reasonable control.

AITF may modify, improve, replace or discontinue functionality from time to time.

17. Fees and paid services

Some AITF services may be provided without charge while other services require payment.

Fees for workshops, consulting, implementation, integrations, automation, managed services, gainshare arrangements or other commercial services will be governed by the relevant proposal, statement of work or client agreement.

Completing an AITF assessment does not itself require you to purchase additional AITF services unless clearly stated before purchase or submission.

18. No professional advice

AITF provides business, technology, artificial intelligence and automation-related information and services.

Unless expressly agreed otherwise, AITF does not provide legal, taxation, accounting, investment, employment, financial or other regulated professional advice.

Information generated by AITF should not be used as a substitute for appropriate professional advice where such advice is required.

19. Estimates and potential benefits

Any estimate of:

  • time savings
  • recoverable hours
  • cost reduction
  • financial value
  • productivity improvement
  • return on investment
  • implementation benefit

is based upon assumptions and information available at the relevant time.

Actual outcomes may differ materially.

Unless expressly guaranteed in a written client agreement, AITF does not guarantee that any estimated saving, benefit or return will be achieved.

20. Consumer rights

Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded, restricted or modified, including applicable rights under the Competition and Consumer Act 2010 (Cth) and the Australian Consumer Law.

21. Liability

To the maximum extent permitted by law, AITF is not liable for loss arising solely from:

  • inaccurate or incomplete information supplied by a user or client
  • reliance upon indicative assessment results without appropriate validation
  • decisions made contrary to an express AITF recommendation or warning
  • unauthorised use of an account or connected system where AITF has taken reasonable security measures
  • failures or changes to third-party systems outside AITF's reasonable control
  • use of AITF services for purposes for which they were not designed or authorised.

Nothing in these Terms limits liability where doing so would be unlawful.

Any additional or different limitation of liability applying to consulting, implementation, automation or other paid professional services may be contained in the applicable client agreement.

22. Privacy

AITF handles personal information in accordance with the AITF Privacy Statement and applicable privacy law.

By using AITF, you acknowledge that information will be processed as described in the Privacy Statement.

23. Suspension and termination

You may stop using AITF at any time.

AITF may suspend or terminate access where reasonably necessary because of:

  • material breach of these Terms
  • unlawful activity
  • suspected fraud or misuse
  • security concerns
  • risk to another user or client
  • risk to connected systems
  • non-payment under an applicable agreement
  • circumstances where continued access would expose AITF to material legal or operational risk.

Where reasonably practicable, we will provide notice before terminating an established client account unless immediate action is required for security, legal or safety reasons.

24. Changes to these Terms

AITF may update these Terms from time to time to reflect changes to our services, technology, business practices or legal obligations.

The current version will be published on the AITF website and will identify when it was last updated.

Where a change materially affects an existing paid service, additional notice may be provided where appropriate.

25. Governing law

These Terms are governed by the laws of New South Wales, Australia.

You and AITF submit to the jurisdiction of the courts of New South Wales and applicable Commonwealth courts.
